Founded in 2000 by Federal Lodge No. 1

Following authorization by Federal Lodge No. 1 at its stated communication,
Articles of Incorporation for the Foundation were prepared setting forth
that the corporation shall be operated exclusively for charitable and
educational purposes within the meaning of section 501(c) (3) of the Internal
Revenue Code of 1986.
In furtherance of these purposes, the Foundation shall receive and disburse
funds and property for the advancement of education and science, provide
for relief of the poor and distressed or underprivileged and erect or
maintain public buildings and monuments.
The incorporators who signed the original Articles of Incorporation on
March 21, 2000 were Brothers Douglas B. McFadden, James C. Mason, and
Peter G. Bronson, who thereafter became the original Directors of the
Corporation.
Based on the material submitted by the incorporators, Eldred E. J. Fornah,
Acting Assistant Superintendent of Corporations for the Government of
the District of Columbia executed and issued the Certificate of Incorporation
on March 22, 2000.
The directors adopted bylaws for the corporation, which were reviewed
and approved by the members of Federal Lodge No. 1 on May 22, 2000, and
provided that the directors of the Foundation would consist of the Worshipful
Master, Senior and Junior Wardens of Federal Lodge No. 1 ex officio and
four directors to be elected at the annual meeting. The first annual meeting
was held in May, 2000 at which Alfred C. Boswell, Jr., WM; George A Keeler,
SW; Douglas C. Colmery, JW; joined Brothers Douglas B. McFadden, James
C. Mason, Peter G. Bronson, and James K. McCully, Jr. to make up the first
full board of directors.
The new directors elected Douglas B. McFadden, President; Alfred C. Boswell,
Jr., Vice President & Development Chairman; James C. Mason, Secretary;
Douglas C. Colmery, Treasurer & Building Chairman; Peter G. Bronson,
Care Chairman; George A. Keeler, Finance Chairman; and James K. McCully,
Jr., Scholarship Chairman.
At its second annual meeting on May 14, 2001, WB Alfred C. Boswell, Jr.,
and Bro. James C. Mason were reelected, and Bros. Jeffrey D. Holt and
Phillip H. Miller elected to the board of directors. They joined ex officio
members WM George A. Keeler, SW Dougls C. Colmery, and JW Douglas B. McFadden.
The new board elected WB Alfred C. Boswell, Jr., President; Phillip H.
Miller, Vice President; James C. Mason, Secretary; and Jeffrey D. Holt,
Treasurer.
